Terms of Service

1. Acceptance of Terms

By accessing and using Sintheon's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

Sintheon provides AI and software development services, including but not limited to:

• Artificial Intelligence and Machine Learning solutions
• Chatbot and conversational AI development
• Web application development (Next.js, React, etc.)
• Mobile application development (Flutter, React Native)
• API development and integration
• Custom software solutions
• Technical consulting and support

3. Service Agreements and Contracts

Specific terms for individual projects will be outlined in separate service agreements or contracts. These terms supplement and do not replace the general terms outlined here.

All project specifications, timelines, deliverables, and payment terms will be clearly defined in writing before commencement of work.

4. Payment Terms

4.1 Payment Schedule

Payment terms will be specified in individual project agreements. Generally:

• A deposit may be required before project commencement
• Milestone-based payments for larger projects
• Final payment upon project completion and delivery

4.2 Late Payments

Late payments may result in suspension of services and may incur additional fees. We reserve the right to charge interest on overdue amounts.

5. Intellectual Property Rights

5.1 Client-Owned IP

Upon full payment, clients will own the intellectual property rights to custom software and solutions developed specifically for them, excluding pre-existing Sintheon intellectual property and third-party components.

5.2 Sintheon IP

Sintheon retains ownership of all pre-existing intellectual property, methodologies, frameworks, and general knowledge used in providing services.

6. Confidentiality

We respect the confidentiality of all client information and will not disclose any confidential information without prior written consent, except as required by law.

Both parties agree to maintain confidentiality of sensitive information shared during the course of the business relationship.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional manner in accordance with industry standards. We will correct any defects in our work at no additional cost if reported within the warranty period specified in the project agreement.

7.2 Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, SINTHEON MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

IN NO EVENT SHALL SINTHEON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising out of or in connection with our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Project Changes and Scope

Any changes to the agreed project scope must be documented in writing and may result in additional costs and time adjustments.

We reserve the right to terminate projects if the scope changes significantly from the original agreement without mutual consent.

10. Termination

Either party may terminate the service agreement with written notice. Upon termination:

• Client remains responsible for payment of work completed
• Sintheon will deliver all completed work and materials
• Confidentiality obligations continue beyond termination

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these terms shall be resolved through binding arbitration or in the courts of Islamabad, Pakistan.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance under this agreement which is due to fire, flood, earthquake, pandemic, governmental action, war, terrorism, or other causes beyond the reasonable control of such party.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
